End-User License Agreement

The LoginCode software produced by Media Town is available on a freeware license. This means that you can use the program free of charge for both private and commercial purposes in such a form in which it was supplied by the manufacturer.

As a condition for granting you a license to use this Software, you agree to all of the following terms and conditions. You are deemed to have read, understood and accepted all such terms and conditions upon installing or executing this Software.

END-USER LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY: This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Media Town company for the Media Town software identified above, which includes computer software and may include associated media, printed materials, and online or electronic documentation (Software). YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE. IF YOU DO NOT AGREE, YOU ARE NOT AUTHORIZED TO INSTALL, DOWNLOAD OR USE THE SOFTWARE.

1. GRANT OF LICENSE. Media Town grants you the following rights provided that you comply with all terms and conditions of this EULA:

RESERVATION OF RIGHTS. Media Town reserves all rights not expressly granted to you in this EULA. The Software is protected by copyright and other intellectual property laws and treaties. Media Town owns the title, copyright, and other intellectual property rights in the Software. The Software is licensed, not sold.
INSTALLATION AND USE. You may install and use the Software on unlimited number of computers, free of charge. The Software may be used both for private and commercial purposes.
TRANSFER. You may transfer the Software to an unlimited number of users. The transfer must include all component parts and this EULA in unmodified original form released by Media Town. Prior to the transfer, the end user receiving the transferred Software must agree to all the EULA terms.
NO RENTAL. You may not sell, resell, rent, lease, or lend the Software.
NO SUPPORT. Media Town does not offer any support services in connection with the Software.

2. UPGRADES. To use the Software identified as an upgrade, you must first be licensed for the product identified by Media Town as eligible for the upgrade. After upgrading, you may no longer use the product that formed the basis for your upgrade eligibility. Media Town is not obligated to inform you about released upgrades.

3. ADDITIONAL SOFTWARE. This EULA applies to updates or supplements to the original Software provided by Media Town, unless we provide other terms along with the update or supplement.

4. CONSENT TO PLAY ADVERTISING MATERIALS. You agree to download and play advertising materials by the Software. You may not in any way to block access to the ad server used by software.

5. LIMITATION ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY. You may not reverse engineer, decompile, disassemble or modify the Software, except and only to the extent that it is expressly permitted by applicable law notwithstanding this limitation. It is also prohibited to use the Software or any part thereof in any other software.

6. TERMINATION. Without prejudice to any other rights, Media Town may cancel this EULA if you do not abide by the terms and conditions of this EULA, in which case you must destroy all copies of the Software and all of its component parts.

7. DISCLAIMER OF WARRANTIES. To the maximum extent permitted by applicable law, Media Town provide TO YOU the Software, and any (if any) support services related to the Software (Support Services) AS IS AND WITH ALL FAULTS; and Media Town hereby disclaim with respect to THE Software AND SUPPORT SERVICES all warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) warranties, DUTIES or conditions of OR RELATED TO: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, WORKMANLIKE EFFORT and lack of negligence. Also there is no warranty, duty or condition of title, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION or non-infringement. The entire risk arising out of use or performance of the Software AND ANY SUPPORT SERVICES remains with you.

8. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. To the maximum extent permitted by applicable law, in no event shall Media Town be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits or confidential or other information, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, for negligence, and for any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the SOFTWARE, the provision of or failure to provide Support Services, or otherwise under or in connection with any provision of this EULA, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of Media Town, and even if Media Town has been advised of the possibility of such damages.

9. INTELLECTUAL PROPERTY. Copyright, patent, trade name, trademark, logo and other intellectual property rights or industrial, as well as any other equivalent rights to protect information relating to the Software shall remain the exclusive property of Media Town. Nothing in this Agreement shall be construed as proof of transfer of all or part of those rights.

10. APPLICABLE LAW. All disputes arising in the implementation and interpretation of this Agreement shall be settled amicably by the parties. If there is no amicable settlement of the dispute, the Parties shall submit any dispute to be decided by courts in rem right in Cracow, Poland.

11. ENTIRE AGREEMENT. This EULA (including any addendum or amendment to this EULA which is included with the Software) are the entire agreement between you and Media Town relating to the Software and the support services (if any) and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this EULA. To the extent the terms of any Media Town policies or programs for support services conflict with the terms of this EULA, the terms of this EULA shall control. If any provision of this EULA is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect.
